- the Goods
- any other goods or services that the Company has supplied to the Customer
- Hold the Goods on a fiduciary basis as the Company's bailee.
- Store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as the Company's property.
- Not remove, deface or obscure any identifying mark or packaging on or relating to the Goods.
- Maintain the Goods in a satisfactory condition and keep them insured against all risks for their full price from the date of delivery.
- Notify the Company immediately if it becomes subject to any of the events list in clause 9 below.
- Give the Company such information relating to the Goods as the Company may require from time to time.
- Cancel the Contract or suspend any further orders or deliveries.
- Appropriate any payment made by the Customer to such of the Goods (or the goods supplied under any other contract between the Customer and the Company) as the Company may think fit.
- The Customer makes a composition or voluntary arrangement with its creditors or (being an individual or firm) becomes bankrupt or (being a company) enters administration or goes into liquidation (otherwise than for the purposes of amalgamation or reconstruction), or a moratorium comes into force in respect of the Customer (within the meaning of the Insolvency Act 1986).
- An encumbrancer takes possession, or a receiver is appointed, of any of the property or assets of the Customer.
- The Customer ceases, or threatens to cease, to carry on business.
- The Company reasonably apprehends that any of the events mentioned above is about to occur in relation to the Customer and notifies the Customer accordingly.
- Death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors (as applicable).
- Fraud or fraudulent misrepresentation.
- Breach of the terms implied by section 12 of the Sale of Goods Act 1979.
- Defective products under the Consumer Protection Act 1987.
